These terms govern your use of the Norwell website and, together with your engagement letter, the provision of our consulting services.

Please read these Terms and Conditions carefully before using this website or engaging Norwell's services. By using this website, you accept these terms. If you do not accept them, please discontinue use of this website.
These terms apply to the use of this website. The terms governing any consulting engagement are set out in the engagement letter provided to you at the commencement of an instruction.
1. Interpretation
In these Terms and Conditions: "Norwell", "we", "us", or "our" refers to the consulting firm operating under the Norwell name from 7/F, Alexandra House, 18 Chater Road, Central, Hong Kong. "Website" refers to the website operated at {{DOMAIN}}. "You" or "your" refers to any individual accessing this website or enquiring about our services. "Services" refers to the consulting engagements offered by Norwell.
2. Website use
This website is provided for informational purposes. The content on this website does not constitute professional advice and should not be relied upon as such. You should seek independent advice appropriate to your specific circumstances before making any business decisions.
You agree not to:

Norwell does not guarantee specific commercial outcomes from any engagement. Our work is designed to provide structured analysis, independent perspective, and practical recommendations — the implementation of any recommendations remains the responsibility of the client.
Service availability and pricing are subject to change. The fees stated on this website are indicative and the applicable fee will be confirmed in the engagement letter.
4. Fees and payment
Fees for consulting engagements are as specified in the engagement letter. Unless otherwise agreed:
- An initial deposit of 50% of the total fee is payable prior to commencement of work.
- The remaining balance is payable within 14 days of delivery of the final deliverable.
- All fees are quoted in Hong Kong Dollars (HKD) and are exclusive of any applicable taxes.
- Late payment may incur interest at the rate of 1.5% per month on outstanding balances.
Expenses reasonably incurred in the course of an engagement (e.g., travel, third-party data subscriptions) will be invoiced separately at cost.
5. Intellectual property
All content on this website — including text, design elements, graphics, and the overall structure — is the property of Norwell or its licensors and is protected by applicable intellectual property law.
You may view and print pages from this website for personal, non-commercial use only. You may not reproduce, distribute, or create derivative works from any part of this website without our prior written consent.
In respect of client engagements, the ownership of deliverables is as agreed in the relevant engagement letter. Unless otherwise specified, Norwell retains ownership of all methodologies, frameworks, and background intellectual property used in the delivery of engagements, and grants the client a non-exclusive licence to use the deliverables for their stated purpose.
6. Confidentiality
Both parties acknowledge that information exchanged in the course of an engagement may be commercially sensitive. Each party agrees to treat such information as confidential and not to disclose it to third parties without the other party's prior written consent, except as required by law or regulatory authority.
Norwell will not disclose client-specific information in any marketing or promotional material without explicit written permission from the relevant client.
7. Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable Hong Kong law.
Subject to the above, Norwell's total liability to you in respect of any claim arising from or related to the use of this website or the provision of services shall be limited to the fees paid by you for the relevant engagement, or HK$10,000 in the case of website use where no engagement has been entered into.
We do not accept liability for any indirect, consequential, or special loss arising from use of this website or our services, including loss of profit, loss of data, or business interruption.
The information on this website is provided without warranty of any kind, whether express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
8. Termination of engagements
Either party may terminate a consulting engagement by written notice if the other party is in material breach of the engagement letter and has not remedied that breach within 14 days of written notice.
If a client terminates an engagement without cause: fees for work completed to the date of termination are payable in full, and a reasonable proportion of the remaining engagement fee may be charged to reflect work already in progress.
If Norwell terminates an engagement without cause, fees paid in advance for work not yet completed will be refunded on a pro-rata basis.
9. Governing law and disputes
These Terms and Conditions are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising from or related to these terms or the use of this website shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith discussion. If a dispute cannot be resolved informally, either party may refer the matter to mediation under the Hong Kong Mediation Ordinance (Cap. 620) before commencing litigation.
10. Changes to these terms
We may update these Terms and Conditions from time to time to reflect changes in our practices, services, or applicable law. The current version of these terms is always available on this page. Continued use of this website following any update constitutes your acceptance of the revised terms.
